Colombia Update: Superintendence of Companies establishes the deadlines to submit the financial information corresponding to the year 2021

By means of External Circular No. 100-000016 of November 17, 2021, the Superintendence of Companies (the “Superintendence”) established the dates in which the entities (i) subject to their surveillance or control and/or (ii) that are required by means of a particular administrative resolution, must submit 2021 financial information and additional documents.

Among other matters, the aforementioned circular of the Superintendence establishes the following:

    1.Individual Financial Statements: The deadline for submitting the individual financial statements, a copy of the minutes by means of which the financial statements are approved and other additional documents, is established pursuant to the last two digits of the Tax National Registry (“NIT”) of the company. The submissions begins for the first group on April 5, 2022 and ends for the last group on May 9, 2022. Among the documents that must be submitted before the Superintendence with the individuals financial statements, it is included a copy of the Minutes of the meeting of the highest corporate body in which it was considered and approved the financial statements.

    2.Consolidated Financial Statements: The deadline for submitting the consolidated financial statements and the corresponding additional documents expires on May 31, 2022.

    3.Report 50 –Prevention Risk of ML/TF/FPMDW: The deadline for submitting the Report 50 –Prevention Risk of ML/TF/FPMDW is established pursuant to the last two digits of the Tax National Registry (“NIT”) of the company. The submissions begins for the first group on May 23, 2022 and ends for the last group on May 27, 2022.

    4.Report 52 –Programs of Corporate Transparency and Ethics: The deadline for submitting the Report 52 –Programs of Corporate Transparency and Ethics is established pursuant to the last two digits of the Tax National Registry (“NIT”) of the company. The submissions begins for the first group on May 31, 2022 and ends for the last group on June 6, 2022.

    5.Report 42 – Corporations Practices: The deadline for submitting the Report 42 – Corporations Practices is established pursuant to the last two digits of the Tax National Registry (“NIT”) of the company. The submissions begins for the first group on June 7, 2022 and ends for the last group on June 21, 2022.

    6.Report 58 –SAGRILAFT Compliance Officers: The deadline for submitting the Report 58 – SAGRILAFT Compliance Officers expires within the next 15 business days as of the date of his / her appointment.

    7.Fines due to breach: Not complying with the submission of the 2021 financial information within the terms applicable to each company could lead to the initiation of investigations and the imposition of fines (of up to 200 minimum monthly legal wages) by the Superintendency of Companies.
