Italy update: Attribution of voting rights through the signing of a shareholders’ agreement

Shareholders may grant the director the subjective right to vote through the signing of a shareholders’ agreement provided that the intent of the shareholders to attribute directly and immediately to the third party this subjective right emerges clearly.
