Italy Update: The loss of business continuity does not make it impossible to achieve the corporate purpose
09/03/2022The dissolution of the company due to the impossibility of achieving the corporate purpose, pursuant to art. 2484, paragraph 1, n. 2 of .c., “is not configurable when business continuity appears recoverable with organizational or commercial choices and there is the possibility of drawing on financial resources to implement them“.
Therefore, in accordance with the prevailing jurisprudential approach, the Court of Florence has established that as long as business continuity is recoverable, through business or commercial organization choices, there is no definitive impossibility of pursuing the corporate purpose and, consequently, it is not necessary to proceed with the dissolution of the company.
